Terms of Service

IMPORTANT — PLEASE READ CAREFULLY These Terms of Service govern your use of the CentredAudio platform as an end user. Your access is provided through an Organisation (such as a gym, shopping centre, corporate office, healthcare facility, school, dance studio, or childcare centre) that holds a subscription agreement with CentredAudio. By accessing or using the platform, you agree to these terms.

1. Our Agreements with You

1.1 These Terms of Service apply to all audio wellbeing products and services supplied by CentredAudio to end users.

1.2 Your access is facilitated by an Organisation that has a separate subscription agreement with CentredAudio. These Terms govern your use of the platform and sit alongside that arrangement.

1.3 Your agreement with CentredAudio comprises:

these Terms of Service;
any access terms communicated to you by the Organisation; and
our Privacy Policy at centredaudio.com.au/privacy.

1.4 To the extent of any inconsistency between documents, these Terms of Service prevail.

1.5 Variation: We may modify these Terms. Modified versions will apply to continued use and will be published at centredaudio.com.au.

2. How You Access CentredAudio

2.1 You access CentredAudio through a QR code, link, or portal provided by an Organisation that has subscribed to the platform on your behalf.

2.2 Your access is contingent on the Organisation maintaining a valid subscription agreement with CentredAudio. You do not pay CentredAudio directly for access.

2.3 The Organisation is responsible for their own terms and policies that apply to your relationship with them. Please review the Organisation's own terms and privacy policy.

3. Term and Termination of Your Access

3.1 Commencement: Your access commences when you register via the Organisation's invitation and continues while the Organisation's subscription agreement with CentredAudio remains active.

3.2 Termination Following Organisation Exit: If the Organisation that invited you to CentredAudio terminates or does not renew their subscription agreement with CentredAudio:

CentredAudio reserves the right to immediately terminate your access to the platform upon the end or termination of the Organisation's agreement;
CentredAudio may delete your personal data and account information in accordance with our Privacy Policy and data retention schedule; and
CentredAudio will provide reasonable notice to you where practicable before terminating access or deleting data, unless required to act immediately for legal, security, or contractual reasons.

3.3 Termination for Breach: We may terminate your individual access immediately if you materially breach these Terms of Service.

3.4 Termination by You: You may stop using the platform at any time. To request deletion of your account, contact hello@centredaudio.com.au.

3.5 Effect of Termination: Upon termination of access for any reason, your right to use the platform ceases and confidentiality obligations survive termination.

4. Supply of Audio Wellbeing Services

4.1 We will provide access to our audio wellbeing library in accordance with the access granted through your Organisation.

4.2 Licence: Subject to these Terms, we grant you a non-exclusive, non-transferable licence to:

access the CentredAudio platform via web browser or mobile application;
stream audio content in accordance with your access type; and
use our services for personal wellbeing purposes only.

4.3 Permitted Use: You must use CentredAudio solely for personal wellbeing and therapeutic purposes. Commercial use of any content is not permitted without a separate commercial licence.

4.4 You must provide compatible devices, internet access, and accurate account information for us to deliver our services.

5. Performance and Availability

5.1 We will use reasonable endeavours to maintain service availability and quality.

5.2 We do not guarantee uninterrupted service or that our services will meet all individual requirements.

5.3 We may update our underlying technology to improve services, provided this does not materially reduce service quality.

6. Your Data and Usage

6.1 Any personal listening preferences, favourites, or usage data you create remains yours.

6.2 We comply with all applicable privacy laws. Please refer to our Privacy Policy at centredaudio.com.au/privacy.

6.3 Your Responsibilities: You must:

provide accurate account information;
maintain account security and not share your credentials;
only use services for lawful purposes; and
respect our intellectual property rights.

6.4 We may use anonymised usage data to improve our services and develop new features.

7. Privacy and Data Sharing

7.1 We comply with the Privacy Act 1988 (Cth) and applicable Australian privacy laws.

7.2 We will:

handle personal information in accordance with our Privacy Policy;
only use your information to provide services and meet legal obligations;
protect information from unauthorised access; and
notify you of data breaches affecting your information as required by law.

7.3 The Organisation through which you access CentredAudio may have access to certain usage data as described in our Privacy Policy. We recommend reviewing the Organisation's own privacy policy.

7.4 We do not share your personal information with any source other than the Organisation through which you were invited and the service providers necessary to operate the platform.

8. Intellectual Property Rights

8.1 We own all intellectual property rights in our audio content and compositions, platform software and technology, all branding and trade marks, and any proprietary audio processing technology used on the platform.

8.2 You must not:

copy, redistribute, or share our audio content;
reverse engineer our technology;
use our content for commercial purposes without a commercial licence; or
remove copyright or proprietary notices.

8.3 Feedback: Any suggestions or feedback you provide may be used by us for service improvement.

9. Acceptable Use

9.1 You must not:

share account credentials with others;
use services for commercial purposes without a commercial licence;
attempt to circumvent usage restrictions;
engage in any illegal activities;
interfere with service functionality; or
upload malicious content to our systems.

9.2 You are responsible for all activity under your account.

10. Medical and Wellbeing Disclaimers

10.1 Medical Disclaimer: Our services provide general wellbeing support and do not constitute medical advice. You should seek advice from a medical professional prior to using our services.

10.2 Special Medical Conditions: People with epilepsy, psychosis, schizophrenia, and other related neurological or psychiatric conditions should not use our services before seeking medical advice from a qualified healthcare professional. Some sessions on the CentredAudio platform may include brain entrainment audio, which may not be suitable for individuals with these conditions.

10.3 No Medical Claims: We make no medical or therapeutic claims about our services. Individual results may vary.

11. Liability and Disclaimers

11.1 We exclude liability for indirect or consequential losses to the extent permitted by law.

11.2 Our total liability to you is limited to the maximum extent permitted by law. As an end user, you do not pay fees directly to CentredAudio.

11.3 Nothing in these Terms excludes your rights under Australian Consumer Law where they cannot lawfully be excluded.

12. General Provisions

12.1 Governing Law: These Terms are governed by the laws of New South Wales, Australia.

12.2 Dispute Resolution: Disputes should first be addressed by contacting us at hello@centredaudio.com.au, then by mediation if necessary.

12.3 Entire Agreement: These Terms of Service together with our Privacy Policy constitute the complete agreement between us regarding your use of the platform as an end user.

12.4 Assignment: You cannot transfer your access or rights under these Terms without our consent.

12.5 Severability: If any provision is invalid or unenforceable, the remainder continues in full force.

13. Definitions

Audio Content: Music, soundscapes, guided sessions, and audio programmes in our library
Brain Entrainment Audio: Audio designed to influence brainwave states, which may be included in certain sessions on the platform
End User / You: An individual who accesses the CentredAudio platform via an Organisation's invitation
Organisation: A business, venue, institution, or other entity that holds a subscription agreement with CentredAudio and provides access to its members, staff, or customers
Personal Use: Use for individual wellbeing and therapeutic purposes only
Platform: Our web and mobile applications for accessing services
Services: All audio wellbeing services and features we provide

These Terms of Service are effective as of 25 June 2025 and replace all previous versions. We recommend reviewing these terms periodically as we may update them to reflect changes in our services or legal requirements.
